Journal Register Company (JRC) was a leading United States newspaper publisher and was created in December 1994 as part of the refinancing of Journal Company, Inc. (formed by Warburg Pincus in 1983) and Journal News, Inc. (formed by Warburg Pincus in 1987). Warburg Pincus had been involved with JRC and its predecessor companies for nearly 20 years. Warburg Pincus installed JRC's management team in 1990 after a series of difficulties in the late 1980s; supported the company through several debt restructurings and financings in the early 1990s (including investing $250 million in debt of the predecessors); provided strategic and financial guidance to the company as it acquired other newspaper properties; and assisted the company and its predecessors in raising approximately $2 billion in capital, including a May 1997 initial public offering on the New York Stock Exchange.
